1. Agreement to Terms
By accessing or using Exasum's financial consolidation platform ("Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.
2. Description of Service
Exasum provides cloud-based financial consolidation software enabling users to:
- Connect and consolidate financial data from multiple accounting systems
- Manage chart of accounts mappings across entities
- Handle multi-currency consolidation and exchange rate management
- Process intercompany eliminations
- Generate consolidated financial reports
3. Account Registration
You must provide accurate, complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized access.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of regulations
- Attempt to gain unauthorized access to any systems or networks
- Interfere with or disrupt the integrity of the Service
- Transmit malicious code or engage in any activity that could damage the Service
- Resell, sublicense, or provide access to the Service to third parties without authorization
5. Data Ownership and Processing
You retain all rights to your financial data. You grant Exasum a limited license to process your data solely for providing the Service. We act as a data processor on your behalf and will process data in accordance with our Privacy Policy and applicable data protection laws.
6. Service Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for temporary unavailability due to circumstances beyond our reasonable control.
7. Fees and Payment
Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We may modify pricing with 30 days' notice. Failure to pay may result in suspension or termination of access.
8. Intellectual Property
The Service, including all software, design, text, and graphics, is owned by Exasum and protected by intellectual property laws. Your subscription grants a limited, non-exclusive license to use the Service. You may not copy, modify, or reverse engineer any part of the Service.
9. Limitation of Liability
To the maximum extent permitted by law, Exasum shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim. The Service is provided for consolidation and reporting purposes; you remain responsible for the accuracy of source data and compliance with applicable accounting standards.
10. Termination
Either party may terminate the subscription with 30 days' written notice. We may suspend access immediately for breach of these terms. Upon termination, you may export your data for 30 days, after which it will be deleted.
11. Changes to Terms
We may update these terms from time to time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance of the modified terms.
